1. Introduction

Welcome to Zesh.io. These Terms of Service (“Terms“) govern your use of the Zesh.io website, associated applications, and services (collectively, the “Services“) provided by ZESH APPS PTE. LTD. (“Zesh“, “we“, “us“, “our“). Zesh is a technological platform only. We are not a broker, financial institution, creditor, borrower, agent, or a provider of financial services, products, or advice. Our Services are offered solely as an administrative platform and all programs are offered by their respective issuers only. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. These Terms contain an arbitration agreement and a class action waiver—please read them carefully, as they affect your legal rights. 2. Use of Services

Zesh provides a digital platform that facilitates the creation, distribution, and management of digital content and applications. The Services offered by Zesh are subject to the following terms of use:

a. Eligibility

You must be at least 18 years of age to access and use the Services. The Services are not available to users located in countries where such access or use would be contrary to local laws or regulations. By agreeing to these Terms, you represent that your use of the Services does not violate any applicable law or regulation in your jurisdiction.

b. Compliance with Laws

You are solely responsible for compliance with all laws, rules, and regulations applicable to your use of the Services. Zesh is not liable for any use of the Services that may violate any laws or regulations applicable to you.

c. Prohibited Uses

You may not access or use the Services for any purpose that is illegal or beyond the scope intended by Zesh. Prohibited activities include, but are not limited to:

• Engaging in any activities that violate applicable laws, regulations, or the rights of others,

• Utilizing the Services in any manner that could disable, overburden, damage, or impair the platform or interfere with any other party's use of the Services,

• Using any robot, spider, or other automatic devices, processes, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.

d. Geographic Restrictions

Zesh is based in Singapore and provides its Services for use only by persons located in jurisdictions that do not restrict or prohibit such use. You acknowledge that you may not be able to access all or some of the Services outside of these permitted jurisdictions and that access thereto may not be legal by certain persons or in certain countries.

b. Content Provided by Zesh

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Zesh, its licensors, or other providers of such material and are protected by Singapore and international copyright, patent, trademark, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Services for your personal, non-commercial use only.

5. Prohibited Uses

In addition to other prohibitions as set forth in these Terms, you are prohibited from using the site or its content:

• For any unlawful purpose.

• To solicit others to perform or participate in any unlawful acts.

• To infringe upon or violate our intellectual property rights or the intellectual property rights of others.

• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

• To submit false or misleading information.

• To upload or transmit viruses or any other type of malicious code.

• To collect or track the personal information of others.

6. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Indemnification

You agree to indemnify, defend, and hold harmless Zesh and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Dispute Resolution

a. Arbitration Agreement

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Singapore, before one arbitrator. The arbitration shall be administered by the Singapore International Arbitration Centre pursuant to its Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

b. Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (1) no arbitration shall be joined with any other; (2) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (3) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

10. Modifications to the Services and Prices

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service.

12. Miscellaneous

a. Severability

c. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Zesh's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Zesh may assign or transfer these Terms, at its sole discretion, without restriction.
